Paulson Capital Corp., through its wholly owned subsidiary, Paulson Investment Company, Inc. (PIC), provides brokerage services in securities in the United States. PIC's brokerage services include the purchase and sale of securities from and to the public and for its own account, and investment banking activities. It operates in four segments: Securities Brokerage, Corporate Finance, Investment, and Trading and Market Making (TMM) segments. The Securities Brokerage segment provides agency services for its customers in the purchase and sale of common and preferred stocks, options, warrants, and debt securities traded on securities exchanges or in the over-the-counter market. The Corporate Finance segment raises capital for its corporate finance clients through public offerings and, to a lesser extent, private offerings of securities of corporations that are engaged in various businesses. This segment also underwrites corporate securities as a managing underwriter and syndicate member. The Investment segment holds securities for investment primarily consisting of securities purchased for investment and underwriter warrants. The TMM segment acts as a principal in executing trades in equity securities, corporate debt securities, and municipal bonds. It makes a market in approximately 50 securities of 44 issuers. As of March 15, 2005, PIC employed 42 brokers and had independent contractor arrangements with 53 brokers registered with the National Association of Securities Dealers, Inc. PIC also had 25 branch offices in California, Connecticut, Georgia, New Jersey, New York, North Carolina, Oregon, Utah, Vermont, and Washington, as of the above date. Paulson Capital Corp. was founded in 1969 and is based in Portland, Oregon.
