Urstadt Biddle Properties, Inc., a real estate investment trust (REIT), engages in the acquisition, ownership, and management of commercial real estate properties principally in Fairfield County, Connecticut; and Westchester and Putnam Counties, New York. As of October 31, 2004, it owned or had an equity interest in 34 properties, which included neighborhood and community shopping centers, office and retail buildings, and service and distribution facilities. The company was elected to be taxed as a REIT under Sections 856-860 of the Internal Revenue Code of 1986. As a REIT, the company would not be subject to federal income tax purposes, provided that it distributes atleast 90% of its taxable income to its shareholders. Urstadt was organized in 1969 and is headquartered in Greenwich, Connecticut.
